A week ago, Lumentum looked unstoppable. Now it trades like a Marvell proxy. LITE fell 18.6% to $684.40 on Monday after Marvell agreed an all-stock takeover, TIKR reports, even though the optical firm had just posted an earnings beat. Our Oracle analysis showed how fragile AI-spending sentiment can be. The chart shows where things stand.

What the Chart Shows

The reading is done from the left. LITE was closed at $818.10 on Oct 26th and increased to approximately $841 on Friday. On Monday it decreased to $684.40. Dotted lines at the upper part of the chart show the $1,143 52-week high price and the $1,132 headline deal value, both of which are calculated using the 28th of Oct price. Red dashed line at approximately $771 indicates the value of 4.5 Marvell shares when Marvell closed at $171.41. The pink shaded area between $684 and $771 represents the gap required by investors for holding on to their positions until either the deal closes or fails. When this gap decreases, it is considered as an indicator of a positive trend.

How the Deal Works

The each Lumentum share will be converted to four point five Marvell shares. The current Lumentum stockholders will have approximately thirty-three percent ownership in the merged companies, as stated by the SEC filing. Closing is expected in 12 to 18 months, so LITE now follows Marvell’s price and the odds of approval. The discount to implied value is about 11%, against roughly 5% on Friday. Strong Quarter, Heavy Deal

The previous quarter was excellent. Motley Fool stated that revenue increased 136.5% to $1.26 billion, adjusted EPS was $4.57 (compared to the $4.21 consensus) and their forecast for revenue was about $1.6 billion (which exceeded previous expectations). Additionally, Motley Fool reported that there is a second optical contract that has been funded with more than $5 billion in commitments. The Motley Fool author believes that purchasing LITE today would be equivalent to purchasing Marvell Technology Group and then waiting.

A Practical Game Plan

LITE (Lumentum) should be viewed in terms of being a spread trade in addition to being a stock. Since the exchange ratio is fixed, each Lumentum share will act like 4.5 Marvell shares with a discount. Therefore, you should check out the Marvell chart first. When the discount shrinks and Marvell does not rise, then the holders will make money.

Conversely, if the discount expands then the market is indicating there may be deal risk. Both regulatory approvals and shareholder votes could potentially slow down the closing process. Place alerts on both stocks and do not believe that all price declines are opportunities for a good deal. If you would like to invest in optics used for Artificial Intelligence (AI), Marvell provides direct access. If you would like to capture the discount from the deal, then Lumentum will provide you with that opportunity, however, be prepared for a long and slow process.

Three Scenarios

Bullish: Marvell recovers and the gap closes toward $771.

Bearish: deal worries push LITE below $684.40.

Neutral: trading between $684 and $771 while the market waits.

Short term, Marvell’s stock and tech sentiment rule. The sector sold hard on Friday, with Intel down 28.6%, according to Yahoo Finance. Longer term, regulators and the 2028 closing timeline decide the final payoff. Our Nasdaq 100 outlook covers the wider AI backdrop. Is an 11% discount enough reward for the wait, or does the deal risk feel too big? Make that call before you trade.
